The core difference between a professional license and a commercial license is the type of activities authorized and the company’s operational structure. A professional license authorizes service-oriented activities, intellectual businesses, consultancies, and skilled professional support. Trading, storing, exporting, importing, re-exporting, distributing, and sales of goods require a commercial license in Dubai.

Identify your passion, choose the business activities, and pick the right license. The wrong license type can impose limitations, compliance audits, operational fines, or difficulties with a corporate bank account. Foreign investors, new entrepreneurs, and start-ups must choose a jurisdiction suitable to the business and the right license to avoid such complications.

Here is a detailed breakdown of the approved business types, legal frameworks, compliance needs, operational expenses, and structural aspects distinguishing a professional and commercial license.

Basic Concept: professional license vs commercial license

Let’s break down the business profiles or entity types authorized under each license.

  • Professional license: A professional license in Dubai authorizes professional services. Individuals or entities qualified in professional or skilled fields through education, training, and experience can offer such services. In this case, revenue generation is based on intellectual property, time spent, services provided, expertise, guidance, and advisory solutions. A material transaction does not happen under professional license business activities.

A few common business activities under a professional license in Dubai are:

Entrepreneurs planning a business profile that falls in any of the above scenarios must obtain a professional license. The services offered must be clearly indicated in the subject license.

  • Commercial license: A commercial license is frequently referred to as a trade license. It permits businesses to trade in tangible items. Retail sales, wholesale trading, distribution of goods, import and export, e-commerce, storefront, logistics, and international trading are the core business activities approved under a commercial license.

Companies with a commercial license can:

  • Trade multiple goods
  • E-commerce sales
  • Electrical and electronic products sales and wholesale distribution
  • Multi-commodity trading
  • Fashion products and cosmetics
  • Logistics, freight forwarding, packaging
  • General trading

Ownership rules on commercial and professional licenses

The foreign ownership rules have changed significantly after the historic Commercial Companies Law amendment. Earlier, a local Emirati partner with 51% ownership was mandatory for mainland company formation.

  • Company formation with a commercial license: Free zones have always been open to 100% ownership. Mainland jurisdictions also implemented the same policy. Now, 100% foreign ownership is permitted across the board for thousands of commercial codes. Only the strategic sectors such as defence, telecom, and oil & gas are excluded from 100% foreign ownership.
  • Professional business setup: Traditional Civil Firms and Sole Establishments in the mainland jurisdiction require an Emirati citizen as a Local Service Agent (LSA). However, the LSA cannot have any administrative authority or voting rights in the company. Typically, the authority allows 100% foreign ownership for professional mainland businesses, without needing an LSA. The LSA will handle all administrative and government liaisons for a negotiated fee.

Liabilities under each license

The entity type determines your financial liability or financial risk.

  • Professional license: A professional entity can be a Sole Establishment, Civil Company, or a Limited Liability Company (LLC). For an LLC, financial liability is limited to the shares owned by the individual. However, both Sole Establishments and Civil Companies are not immune to company debts, financial disputes, or contractual obligations. LLC formation has been a commonly considered way forward to alleviate the unlimited liability carried by a Sole Establishment as well as a Civil Company
  • Commercial license: A Limited Liability Company (LLC) is the commonly chosen legal structure by commercial entities in Dubai. This entity type limits shareholder liability to their share percentage in the company capital. Therefore, corporate risks associated with commercial activities are bound to remain within the entity.

Business setup costs and expenses

Financial regulations have undergone constant amendments and have become more investor-oriented. Let’s look into the key differences in capital requirements between commercial and professional licenses:

  • Professional license: A minimum share capital of AED 150,000 is the stated requirement for a mainland professional entity. The amount needs to be stated in the Memorandum of Association. The overall expense on a professional license, which includes government fees, license charges, and rent for space, is ideally lower than that of a commercial entity.
  • Commercial license: The endorsed minimum capital for a commercial license is commonly benchmarked at AED 150,000 depending on the client requirement. The rent expenses, license fees, code registration charges, and infrastructure charges are typically higher than those of a professional company.

Current practices indicate that the capital requirements mentioned above may not be blocked or paid up front. The amount only needs to be written into the Memorandum of Association.

Step-by-step company formation process: Generally common to professional and commercial licenses

Regulated industries would need additional approvals from authorities such as DHA, Dubai Municipality, KHDA, and Dubai Civil Defence. Excluding third-party approvals and inspections, the company incorporation process in Dubai is comparatively the same for both professional and commercial licenses.

  • Determine the activities: Confirm the business activities your company will be undertaking. Check the DET activity directory and confirm the type of activity, viz. professional business or handling of tangible commercial goods.
  • Decide the legal structure: Whether you opt for a Limited Liability Company structure or any other. The legal entity type depends on your objectives and the number of shareholders.
  • Determine the jurisdiction: The professional/commercial business could be in the Dubai mainland or any of the prominent jurisdictions such as DSO, DMCC, Dubai South, or IFZA.
  • Initial approval and trade name registration: Obtain initial approval from the licensing authority. Submit a brief business plan, passport copies of the shareholders, and a registered trade name document for initial approval. Submit up to 03 trade names, finalized according to the naming regulations, for trade name registration.
  • Lease an office/commercial space: Lease an office/commercial space/warehouse depending on your business type and requirements. Free zones typically permit business operations also from flexi-desks, virtual offices, and smart desks. Additional approval is required for industries including healthcare, medical, and food processing.
  • Corporate banking onboarding: Collect your license and company incorporation certificate. Open a corporate bank account with an established local or international bank. Digital banking options are also available.
  • Visa: Start immigration and visa processing for the shareholders and employees.

Can service and trading be merged under a hybrid license option?

Many businesses look for a hybrid operational model. Professionals may want to sell products linked to their services. Many growing startups have been asking us the same question. The flexibility to offer both services and trading under a single license differs across mainland and free zone jurisdictions.

  • Mainland companies: The Department of Economy and Tourism (DET) has implemented specified guidelines regarding activities associated with each type of license. No business can run trading and consultation under a single license code. Separate activity permits are required for managing both types of activities together. Another option is restructuring the company into a broad parent entity.
  • Free zone businesses: Free zones are known for flexible business regulations. Many free zones permit companies to bundle divergent business activities together under a hybrid umbrella. The entity must adhere to free zone policies and must pay all the sub-activity fees to obtain permission for hybrid operations.
