How to Transfer Company Shares/Ownership in the UAE?

BlogAuthor

Transferring company shares or ownership involves navigating a specifically formulated framework. The process includes regulatory approvals, adherence to the licensing authority’s compliance guidelines, and conversion to a specific legal framework.

Crucial for business expansion, bringing in new investors, or exiting the business, the share/ownership transfer process must be undertaken carefully. Your deep understanding will help preclude legal hassles, administrative roadblocks, and undue delays. Define a clear, systematic approach that includes preparing a modified Memorandum of Association (MOA) and obtaining additional approvals.

This comprehensive 2026 guide explains how to transfer company shares/ownership in the UAE. Expert business setup services for over 25 years, Kiltons has helped many entrepreneurs to complete the process error-free and systematically. We have outlined the costs involved, common pitfalls, and compliance requirements to help you understand the procedure.

Common Reasons for Company Shares/Ownership Transfer

The UAE’s business landscape has been constantly evolving. Share/ownership transfer becomes a vital decision to set new objectives, keep up with momentum, and comply with the legal requirements.

The common reasons are:

Legal Facet of Company Shares/Ownership Transfer

Signing a private agreement between the buyer and seller won’t suffice. You must officially register the share transfer. Unless the authorities are informed in writing, in the prescribed manner, the share transfer is invalid.

Navigate the following framework to ensure regulatory compliance and validity:

  • Amendment to MOA/AOA: A company’s core structure is altered with the share/ownership transfer. A formal, legally approved amendment to the Memorandum of Association (MOA)/Articles of Association (AOA) is mandatory. The MOA amendment must be signed and concluded in the presence of a UAE Notary Public. The signing process can be done physically or via digital notary systems.
  • Official Approval: Approval from the Department of Economy and Tourism (DET) or the relevant Free Zone Authority (FZA) is necessary to validate the transfer. It will not have any validity without such an approval.
  • New License: The licensing authority will issue a new trade license indicating the amended shareholder structure. Without this crucial step, share/ownership transfer remains incomplete.

Share Transfer Process for Mainland LLCs

Mainland companies must comply with share transfer formalities in tandem with the local authorities. A systematic sequential regulatory compliance process is binding for the mainland entities. The step-by-step process is:

  • The company’s existing shareholders have the pre-emption rights. Under Article 80 of Federal Decree-Law 32 of 2021, which came into effect in January 2022, existing shareholders have pre-emption rights or the right of first refusal. Before offering the shares to outsiders, the selling/transferring shareholder must officially notify all shareholders. The procedure can proceed only when the other partners formally waive their rights or fail to exercise them within the prescribed window.
  • A Share Transfer Agreement (STA) is concluded between the buyer and seller after finalizing the terms and conditions. The STA will indicate the number of shares, cost, payment terms, other relevant conditions, obligations, and warranties.
  • A No Objection Certificate (NOC) or a board resolution signed by all shareholders/partners might be required depending on the business activities and legal structure. The NOC/board resolution explicitly approves the shareholder exit and the new shareholder entry.
  • Obtain initial approval from the local corporate registry such as the DET or ADDED for amendment to the corporate structure.
  • Draft an amended Memorandum of Association (MOA) and sign the new MOA, with the new shareholder data included, in front of a UAE Notary Public. The signature process can be completed in front of the authority or via the Ministry of Justice e-portal.
  • Notarize the legal documents, prepare all documents, and submit them to the local corporate registry. Pay the amendment fee. The DET/ADDED will issue an updated trade license and a Partners’ Registry confirming the legal transition.

This is the process for a UAE mainland company shares/ownership transfer.

Share Transfer Process for Free Zone Companies in the UAE

Typical regulations for share/ownership transfer are similar for both mainland and free zone entities. However, Free Zone Companies such as FZEs and FZCOs operate under specific rules promulgated by the relevant Free Zone Authority. Therefore, the process for share/ownership transfer of UAE free zone entities is:

  • The free zone company should conclude a board resolution approving ownership/share transfer. This is the first step that informs the Corporate Registry of the initiation of the share transfer process.
  • After the board resolution, the company should obtain initial approval from the authority. The application should be submitted online or via the registry desk.
  • The Free Zone Authority will review the application, undertake compliance checks on the new shareholders, complete the Know Your Customer (KYC) procedures, and release an initial approval to proceed with the ownership/share transfer.
  • The authority will issue share transfer forms. Both the buyer and seller must sign the document either digitally or in person in front of a Free Zone Registry Officer.
  • The Memorandum of Association (MOA) or Articles of Association (AOA) must be amended to include the shareholder details, share price, number of shares, and distribution of shares.
  • After reviewing the documents and receipt of the share transfer fee, the authority will update the company’s internal share register. An updated commercial license and share certificate are issued subsequently.

Documents Required

A set of documents related to the seller, buyer, and the company is required to initiate and complete the ownership/share transfer process of a UAE company. All foreign documents must be translated into Arabic and notarized in the country of origin. Those documents must be attested by the Ministry of Foreign Affairs (MOFA).

  • Buyer/Seller Documents
    • Copies of passports
    • Emirates ID copy (if applicable)
    • UAE residence/tourist visa copy
    • NOC from employer (if applicable)
  • Company Documents
    • Trade license copy
    • Company incorporation certificate
    • MOA/AOA
    • Board resolution approving the ownership/share transfer
    • Attested copy of the internal share registry
  • Corporate Documents (if the buyer or seller is a company)
    • Certificate of good standing
    • Attested corporate resolution approving share transfer
    • Trade license and MOA of the parent company
    • Constitutional documents related to the corporate entity

Formalities to Complete After Ownership/Share Transfer

The company ownership or share transfer formalities do not end with the new commercial license. You must comply with the post-transfer requirements and obligations to avoid administrative complications and compliance needs.

  • Ultimate Beneficial Owner (UBO) data must be updated within 15 days of the ownership/share structure change.
  • You must submit the ownership changes and corporate structural shifts to the Federal Tax Authority (FTA), if the company is registered with the FTA. This must be undertaken within 20 days.
  • Make necessary amendments to the bank account documents. Submit the amended MOA, new shareholder details, and updated commercial license.
  • If the outgoing member was the authorized signatory for the labor department of the entity or had been a specific decision-making role, you must update the company profile held with the Ministry of Human Resources and Emiratization (MOHRE) and General Directorate of Residency and Foreign Affairs (GDRFA).
  • Cancel the investor visa of the outgoing shareholder.

Common Mistakes to Avoid During and After the UAE Company Ownership/Share Transfer

The share transfer process involves legal, administrative, and corporate procedures. A keen understanding of the process or hiring a credible and experienced service such as Kiltons would help you avoid the common pitfalls:

  • Considering a private agreement between the buyer and seller to be legal is one of the commonly observed mistakes. A share transfer is valid only when it is officially notarized and entered in the corporate registry.
  • Cabinet Resolution No. 58 of 2020 states the requirement to comply with the UBO documentation. Failure to update the UBO within 15 days will lead to severe penalties.
  • Under Federal Decree-Law 32 of 2021, the existing shareholders’ written approval is mandatory to transfer shares to outsiders. Not obtaining written approval from the existing shareholders, who have pre-emption rights, can cause legal complications.
  • Failing to submit amended tax records to the FTA within 20 days will invite a fine of AED 1,000 (for the first violation).
  • Deferring the amendment of records at the bank is another commonly observed mistake. It can lead to disrupted banking transactions or an account freeze. You must submit the new shareholder’s KYC documents and updated trade license without delays.
  • Not using expert support for the smooth and seamless completion of the share/ownership transfer process.
  • Using an online generic template to complete the procedure.
