Abu Dhabi Global Market offers Financial, Non-Financial (Commercial), Retail, and Professional/Consultancy licenses to support a wide range of businesses. Financial Services License

Regulated by the Financial Services Regulatory Authority (FSRA), this license is for businesses that perform regulated financial activities.

SPV (Special Purpose Vehicle) License

Foundation

This is the fifth type of license offered by ADGM. Those involved in philanthropic acts, asset protection, estate planning, etc., can choose this license. This business structure will not have shareholders, but will be managed by a council.

ADGM Company Renewal

The ADGM Freezone company license must be renewed annually. Delayed renewal can lead to fines and other penal actions. It is best to initiate the renewal action at least a month in advance. The process is simple for ADGM license renewal.
 

  • Log in to the ADGM authority portal using the company admin credentials.
  • Check the company details and address for accuracy.
  • The info regarding all the shareholders as well as directors should be up to date.
  • Confirm other data, including Economic Substance Regulations, if applicable.
  • Pay the license renewal fee. The fee will depend on the type of license.
  • Obtain license renewal confirmation and an updated license with its validity extended by 12 months.


 

License Cancellation

ADGM Company Amendments

An amendment might be required subsequent to a change in the business activities, a change of board directors/ secretary, a company name change, share transfer, etc. ADGM Registrar is the authorized person for approving the amendment. The procedure for the ADGM Freezone company amendment is simple.
 

  • Log in to the ADGM free zone’s online registry using admin credentials.
  • Go to the “Menu” option and select the amendment.
  • Upload requisite documents.
  • Submit the application fee for the amendment.
  • The application will be reviewed and approved (if everything is correct) in 3 to 10 business days.


 

ADGM Company Cancellation

The ADGM company cancellation means discontinuing the business operations and dissolving the company. The ADGM free zone has stipulated procedures for company cancellation.
 

  • Board resolution confirming the decision to dissolve the company,
  • Pay dues and settle all obligations, including government fees and utility bills.
  • Prepare the documents necessitated by ADGM.
  • Log in to the online portal all submit the request.
  • Upload the documents and pay the fee for liquidation.
  • The ADGM Freezone registrar will review the request and approve it within 1 to 3 weeks.


 

Hidden Cost to be Aware of

The company formation fee indicated might state the license fee and registration fee only. It would not be sufficient to set up a business in the ADGM Freezone. The additional fee that you must be aware of includes:

ADGM May Not Be Ideal For

Industrial firms will need facilities suited to them, factory set-ups, and warehouses, which are not available in the ADGM Free Zone. Hence, not ideal for such companies.

General trading, import and export companies, and wholesale and retail businesses may not be able to function in this free zone productively.

Logistics and transportation companies may not find ADGM suitable. As the free zone is not in proximity to a seaport, airport, or any important logistics hub, the transportation will not be efficient or cost-effective.
